1. Business-to-Business (B2B) Status & Application
This Site operates exclusively as a Business-to-Business (B2B) commercial platform. By submitting procurement inquiries, custom specifications, or requesting contracts, you explicitly warrant that you are acting on behalf of a valid business entity, e-commerce brand, retail establishment, or corporate enterprise. We reserve the absolute right to reject service, decline commercial inquiries, or discontinue negotiations with any entity at our sole discretion.
2. Custom Manufacturing (OEM/ODM) & Sampling
For clients utilizing our bespoke manufacturing and textile customization services:
- Client Specifications: Bulk manufacturing runs are executed based entirely on the structural designs, dimensions, sizing charts, fabric GSM (grams per square meter), material choices, and Pantone color designations supplied by the client.
- Counter-Sample Approval: Mass production lines will be initialized only upon receiving the client’s formal written approval of the counter-sample. We are completely exempt from liability for discrepancies in mass production that match the signed-off sample.
- Intellectual Property Indemnification: The client retains full ownership of all logos, custom artwork, trade dress, and brand assets provided for manufacturing. The client warrants that these materials do not infringe on third-party intellectual property and agrees to fully indemnify us against any copyright or trademark claims arising from production.
3. Commercial Quotations & Order Variations
- Pricing Validity: All manufacturing quotes, container volume estimates, and estimated time of arrivals (ETA) issued by our sourcing network are subject to finite validity limits due to fluctuations in raw textile fiber costs, global logistics fuel surcharges, and international currency exchange rates.
- Minimum Order Quantities (MOQs): Production runs are subject to machinery configurations and specific fabric dye-lot minimums, which will be mutually agreed upon in writing inside separate purchase orders.
4. Quality Assurance, Inspection & Standards
We enforce rigorous quality control benchmarks across our owned facilities and partner factory networks:
- Acceptable Quality Limits (AQL): Bulk goods are audited based on standard B2B Acceptable Quality Limits (e.g., AQL 2.5/4.0) or custom checklists finalized prior to mass cutting and sewing.
- Inspection Transparency: Clients reserve the right to access and review fully transparent, independent on-site inspection reports and structural photos before the finalized container is dispatched from our shipping bays. Minor structural tolerances standard to textile weaving and sewing within AQL limits do not constitute breaches of contract.
5. Shipping, Logistics & International Delivery
- Execution of Incoterms: Logistics will be executed in strict adherence to the specific Incoterms (e.g., FOB, CIF, DDP, or direct Amazon FBA delivery) designated in individual purchase contracts.
- Exclusion of Logistical Liability: While we actively manage freight forwarding networks, we cannot be held liable for commercial delays resulting from national customs inspections, port congestion, maritime disruptions, labor strikes, or unexpected force majeure events.
6. Disclaimer of Warranties; Limitation of Liability
We do not guarantee that your use of our Site will be uninterrupted, timely, secure, or error-free. In no case shall our directors, officers, employees, or partner facilities be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, or consequential damages of any kind, including lost profits or lost revenue arising from your use of our products or manufacturing services, unless explicitly outlined in a finalized bilateral commercial sales contract.
7. Governing Law & Dispute Resolution
These Terms of Service and any separate commercial agreements whereby we provide you manufacturing, sourcing, or logistical services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this agreement, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre in force when the Notice of Arbitration is submitted.
- The seat of the arbitration shall be Singapore.
- The tribunal shall consist of one (1) arbitrator.
- The language of the arbitration shall be English.
8. Severability & Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.
